This is an important legal document even though it is written as much as possible in language you can easily understand.
By participating in or using Income School LLC’s affiliate program, you agree to be bound by the following Terms and Rules. If you disagree with any part of the Terms then you may not access the Service.
The purpose for our affiliate program is to reward those who can bring new customers to Income School. We do NOT want the program to be used for merely creating Project 24 reviews.
We spend a tremendous amount of effort and cost in finding new customers through content marketing. It’s a lot of work to grow a Youtube channel that attracts new customers. So we aren’t excited about then paying a high commission to someone who then takes the customer WE found and gets their commission simply because they watched their one review before buying.
Consequently, we want affiliates to focus not on Project 24 reviews, but instead on growing their own audience who they could then refer to Income School.
Please do not make channels, sites, or other media that merely reviews Project 24 or Income School videos. This only costs us money in affiliate commissions for people WE found and warmed up to a sale.
Instead, make your channel on whatever topic you’d like, and then tell your audience how blogging has worked for you and helps to provide an income. Then refer them to Project 24 and claim your check!
The program has a 10 day cookie. From the time the person clicks on your link, they must purchase Project 24 through your link within 10 days. Our affiliate program gives credit to the first link that is clicked by an affiliate, not the last. Thus, if Affiliate A brings a new customer to Income School and they check out the sales page, but then that same customer reads a review by Affiliate B before buying, only Affiliate A receives the commission. Why? Because we’re focused on rewarding affiliates for introducing new customers to Income School.
Income School LLC has an account in our own affiliate program. We are essentially an affiliate for our own product. So when we find and introduce a new potential customer to our site who then visits the sales page, they may have already clicked on our affiliate link from our Youtube channel, or website. If our link is clicked first, we are the affiliate and any consequent clicks to another affiliate are not rewarded with a commission.
The reason we do this is simply because we only want this affiliate program to be used for rewarding affiliates for introducing new people to the platform. We don’t want “buzzard affiliates” who simply hang around the audience we generated, and try to spam our Youtube videos with their affiliate link in the comments, or who just create reviews of Project 24 so our audience clicks on their affiliate links before buying.
Do not use the affiliate program in a way that would imply endorsement by Income School, or in a way that could imply that your site is produced by Income School LLC.
Do not use the terms “Income School” “Acabado” “Project 24” “Content Warrior” “Jim Harmer” “Ricky Kesler” or any shortened version, misspelling, or variation on those names in the URL of your site, or in the profile name of any social media channel. Income School, Acabado, Project 24, Content Warrior, Affiliate Sherpa, or any other Income School trademark or common hashtag or phrase are owned by Income School LLC. Using those names in your title implies we endorse or are the source of the content you create, and this may infringe our trademark rights.
Remember that the purpose of this program is to introduce NEW people to Income School.
We pay commissions according to the agreement we have with you as an affiliate. Commission amounts depend on your audience size and success rate. We may communicate with you via email about your commission and that will be the rate we pay until further notice.
Income School LLC may, at its sole discretion, increase or decrease your commission rate at any time and will only pay that amount for all future sale referrals.
We use well-regarded technology to track affiliate sales of our products. We want it to track sales properly because we WANT to pay affiliates for referrals of customers they introduced to the brand. This helps us to have a motivated affiliate and brings in new customers. We have no desire whatsoever to cut your commissions that you properly referred which meet the purpose of this program.
Any failure of the technical system to properly track a referral will be looked into promptly and we will use reasonable efforts to make sure you get credit for all properly referred customers. In the event that our technical system fails to recognize a click for some reason, you agree that Income School LLC is not liable for the failure of the system to show your referral as payable.
Any payments in excess of the amount owed from the affiliate program to you need to be sent back to Income School LLC and you agree to do so.
You represent that you are at least 18 years of age and have the legal authority to agree to these Terms and Conditions with Income School LLC. This affiliate program is not open to minors. To access the affiliate program, you must be 18 years of age or older and have the requisite power and authority to enter into these Terms and Conditions. You understand and agree that Income School LLC, in its sole discretion, may refuse service to customers or potential customers it chooses not to serve for any reason. While Income School LLC makes reasonable efforts to ensure the accuracy of information provided, it does not guarantee or warrantee that the information is free from errors. By accessing this affiliate program, you agree to hold Income School LLC harmless for mistakes, imperfections, or errors in the information provided. You may use this affiliate program for lawful purposes only. You shall not post or transmit through the Service any material which violates or infringes the rights of others.
You agree to provide accurate and up-to-date contact information to Income School at the time of creating an account which includes your registration name, email address, and physical address. You represent and agree that you will not use this Service in any way that would violate any laws in your jurisdiction.
We reserve the right to accept or decline who we want in the program. We determine this based on content made and audience size. If accepted to the program you will have complete access to the affiliate program.
You understand and agree that server outages, technical problems, and other errors can make the affiliate program unavailable temporarily. During this time, sales will not be recorded and affiliate clicks may not be tracked. You agree that no breach of these Terms or breach of contract legal action may be initiated against Income School LLC in the event of these reasonable delays and outages. Income School LLC will strive to provide a reliable service.
Income School reserves the right to terminate the Service, and or access to any feature(s) of the Service, with or without prior notice. It may substitute features of the Service or discontinue them. Failure to pay your subscription payment will result in termination from access to the affiliate program.
You agree to not upload, post or otherwise make available on Project 24, old.incomeschool.com, the Project 24 community forum, or any other Project 24 resource, any videos, photos, or other copyrighted work, trademark, or other proprietary right without the express written permission of the rights holder. By posting any content to Project 24, including the forum, you represent that you have the rights to post the content and that doing so will not create legal liability for Income School LLC.
Income School LLC claims no intellectual property rights over the material you transmit through or to the Project 24 Service. You retain copyright and any other rights you may rightfully hold in any content that you submit through the Site or Service. You agree to hold Income School LLC harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you. By posting material on the Site, you grant Income School LLC and its assigns, licensees, and sublicensees, a worldwide, nonexclusive, irrevocable license to use the material for promotional, development, and marketing purposes. You consent to recordings being made of calls, videos, or webinars provided as part of the Service. You consent to your name, site, words, voice, and likeness being used by Income School LLC for promotional, development, and/or marketing purposes, without compensation to you.
This service contains trademarks, copyrighted materials, proprietary information, proprietary techniques and processes, and other intellectual property of Income School LLC. This content is provided to you as part of the Service for your individual use only. All intellectual property, including copyrighted materials, shall remain the sole property of Income School LLC. No license to sell or distribute our materials is granted or implied. You may not create derivative works from, modify, transmit, publish, divulge to any third party, participate in the transfer or sale of, distribute, or in any way exploit in any format whatsoever any of the Service Content or intellectual property, in whole or in part, without our prior written consent. All techniques and processes showed in Project 24 but not also shown publicly on our Youtube channel or other social media channels, are proprietary to Project 24. Sometimes we show a small portion of techniques publicly, but many details of how we do that process or tactic are proprietary and you agree not to divulge that information to any third party. Except as allowed by Fair Use, you agree not to post screenshots of any material from Project 24 publicly online. This includes but is not limited to screenshots taken of the Project 24 community forum, PDFs in the course, or of any lessons in the course.We reserve the right to immediately remove or suspend you from the Service, without refund, if you are caught violating this intellectual property policy.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
You agree that Income School LLC shall not be liable for direct, indirect, consequential, special, punitive, or any other damages arising out of your use of the Service. You agree to not hold Income School LLC liable for any loss of revenue, expected profits, money, goodwill, or data. You agree that, in no event, shall Income School LLC’s total and complete liability to you exceed the purchase price of the Service you paid to Income School LLC. If no purchase was made by you, Income School LLC’s total liability to you shall not exceed $100.
Income School LLC, through Project 24, recommends products and services provided by third party companies. It also links to other resources and content around the web. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources. Income School LLC does not guarantee you will have a positive experience from these third party services, products, and pieces of content.
You shall indemnify and hold Income School LLC harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third party claims and causes of action, including, without limitation, attorney’s fees, arising out of any breach by you of any of these Terms and Conditions, or any use by you of the Service.
This Agreement constitutes the entire agreement between you and Income School LLC pertaining to the Service and supersedes all prior and contemporaneous agreements, representations, and understandings. No waiver of any of the provisions of this Agreement by Income School LLC shall be deemed, or shall constitute, a waiver of any other provision, whether or not similar, nor shall any waiver constitute a continuing waiver. No waiver shall be binding unless executed in writing by Income School LLC. If any legal action or any arbitration or other proceeding is brought for the enforcement of this Agreement, or because of an alleged dispute, breach, default, or misrepresentation in connection with any of the provisions of this Agreement, the successful or prevailing party or parties shall be entitled to recover reasonable attorney’s fees and other costs incurred in that action or proceeding, in addition to any other relief to which it or they may be entitled.
These Terms shall be governed by and construed in accordance with the laws of the State of Idaho in the United States of America without regard to such state’s conflict of laws or provisions. For purposes of litigating any dispute that arises under these Terms or any dispute you have with Income School LLC, you hereby submit to and consent to the jurisdiction of the State of Idaho in the United States of America and agree that such litigation shall be conducted in the courts of Ada County, Idaho, or the federal courts for the United States for the District of Idaho.
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
